Terms of Service

Please read these Terms of Service ("Terms") carefully before using the website or services of Hover Technologies Pvt Ltd. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our website and services, you confirm that you are at least 18 years of age, have the authority to enter into these Terms, and agree to be bound by them. If you disagree with any part of these Terms, please do not use our website or services.

2. Services Description

Hover Technologies Pvt Ltd provides software development, cloud consulting, AI/ML, DevOps, and related technology services. The specific scope, deliverables, timelines, and pricing of any engagement are defined in a separate Statement of Work (SOW) or Service Agreement executed between the parties.

3. Intellectual Property

Our IP

The Hover Technologies name, logo, website content, proprietary frameworks, and methodologies are the exclusive property of Hover Technologies Pvt Ltd. You may not use, reproduce, or distribute our intellectual property without written permission.

Client Work

Intellectual property created specifically for a client is owned by the client upon full payment, as detailed in the project SOW. Any pre-existing Hover Technologies IP, open-source components, or third-party licenses embedded in deliverables remain with their respective owners.

4. Payment Terms

• Invoices are due within 30 days of issuance unless otherwise agreed
• Late payments attract interest at 18% per annum
• We reserve the right to suspend services for overdue accounts exceeding 45 days
• All prices are exclusive of applicable GST/taxes

5. Confidentiality

Both parties agree to maintain strict confidentiality of the other's proprietary information. This obligation survives the termination of any engagement for a period of 5 years. We sign NDAs on request for project-sensitive engagements.

6. Warranties & Disclaimers

Hover Technologies warrants that services will be performed with professional skill and care. We do not warrant that software will be error-free. Our liability is limited to fixing defects within a 90-day warranty period post-delivery.

The website is provided "as is" without warranties of any kind. We do not guarantee uninterrupted, error-free website operation.

7. Limitation of Liability

To the maximum extent permitted by law, Hover Technologies' total liability for any claim related to our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages.

8. Termination

• Either party may terminate a project engagement with 30 days written notice
• Client owes payment for all work completed up to the termination date
• We reserve the right to terminate immediately for non-payment or breach of Terms

9. Governing Law

These Terms are governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka. Disputes shall first be attempted to be resolved through good-faith negotiation and mediation.

10. Changes to Terms

We may revise these Terms at any time. We will notify existing clients of material changes. Continued use of our services after changes constitutes acceptance of the revised Terms.
